Juul Wins Delaware Ruling Freeing It From California Records Bid

A former Juul Inc. employee can’t seek company files under California law, a Delaware Chancery Court judge ruled Thursday, saying any records inspection suit must be brought in Delaware, where Juul is incorporated.

“Generally speaking, the California inspection regime is not radically different from the Delaware regime, but it is not the same either,” Vice Chancellor J. Travis Laster wrote. “If other states could define the terms by which stockholders can inspect books and records, then a Delaware corporation could be subjected to different provisions and standards in jurisdictions around the country.”
